Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Storspay platform, website, and related services (collectively, the "Service") operated by StorsApp, Inc. ("Storspay," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is available only to US-incorporated businesses ("Clients") that have completed Know Your Business (KYB) verification. The Service is not available for personal remittances or consumer-to-consumer transfers. You represent and warrant that you are authorized to bind the business entity on whose behalf you are using the Service.

2. Account Registration and KYB

To use the Service, you must create an account and complete our KYB verification process. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Storspay reserves the right to suspend or terminate any account that fails KYB verification or provides materially inaccurate information.

3. Description of Service

Storspay provides a B2B cross-border payments platform that enables businesses in North America, the United Kingdom and Europe to send payroll and supplier payments to recipients in supported corridors across Africa, Latin America and Asia, to receive payments from payers in those corridors, and, where offered, to hold a Storspay Account and use a Storspay Card. Payments are processed using stablecoin infrastructure (USDC on the Base network) and delivered in local currency to recipient bank accounts or mobile-money wallets through licensed in-country partners.

Storspay does not hold customer funds. Funds are held in virtual accounts issued by regulated infrastructure providers and move through licensed custody and settlement partners at every stage of the payment flow.

4. Fees and Pricing

Storspay charges an all-in fee of 0.5%–1.5% per transaction depending on volume and corridor. This fee covers conversion, settlement, and local delivery. There are no hidden FX markups, intermediary-bank fees, or per-wire surcharges. Fees are displayed before you confirm each payment. Storspay reserves the right to modify its fee schedule with 30 days' prior written notice.

5. Payment Processing and Settlement

Once you initiate a payment, Storspay will process it using our stablecoin-based settlement infrastructure. Settlement times are typically same business day for most corridors, subject to ACH clearing times for initial funding. Storspay does not guarantee specific settlement times and is not liable for delays caused by banking networks, regulatory holds, or incorrect recipient information provided by the Client.

If a payout fails due to incorrect account details or other recipient-side issues, the funds will be returned to your Storspay balance. Storspay is not responsible for losses resulting from incorrect payment instructions provided by the Client.

6. SMS Notifications

By creating a Storspay account and providing your phone number, you agree to receive transactional SMS text messages from StorsApp, Inc. regarding your payment activity and account security. These messages include payment confirmations, delivery notifications, failure alerts, scheduled payroll reminders, and verification codes.

Message frequency varies based on your use of the Service. Message and data rates may apply.

You may opt out of SMS notifications at any time by replying STOP to any message we send. After opting out, you will receive a one-time confirmation message. You may opt back in by replying START or by updating your preferences at app.storspay.com/dashboard/settings. For help, reply HELP or email info@storsapp.com.

Opting out of SMS will not affect your ability to use the Service, but you may miss time-sensitive payment status updates.

7. Compliance and Regulatory

All transactions processed through the Service are subject to applicable anti-money laundering (AML), know-your-customer (KYC), and sanctions-screening requirements. Storspay cooperates with regulatory authorities and may be required to report certain transactions or freeze funds in accordance with applicable law. You agree not to use the Service for any unlawful purpose, including but not limited to money laundering, terrorism financing, fraud, or sanctions evasion.

8. Prohibited Uses

You may not use the Service to:

  • Process personal remittances or consumer-to-consumer transfers
  • Send payments to sanctioned individuals, entities, or jurisdictions
  • Engage in money laundering, fraud, or other illegal activity
  • Circumvent KYB verification or provide false information
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service
  • Use the Service in any way that violates applicable laws or regulations

9. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the Service are owned by or licensed to StorsApp, Inc. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. Storspay makes no warranties, express or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by applicable law, StorsApp, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of or inability to use the Service. Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the total fees paid by you to Storspay in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless StorsApp, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

14. Termination

Storspay may suspend or terminate your access to the Service at any time, with or without cause, upon written notice. You may close your account at any time by contacting us at info@storsapp.com. Upon termination, any pending transactions will be completed or returned in accordance with our standard procedures, and any outstanding balances will be refunded to your designated account.

15. Modifications to Terms

Storspay reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.

Storspay is the trade name of StorsApp Inc., a federally incorporated Canadian company (Corporation No. 1124620-8). Storspay is a financial technology company, not a bank. Storspay does not hold, custody or control customer funds at any time.

StorsApp Inc. has filed for registration as a Money Services Business with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), application no. 010760. Registration is in progress. Registration with FINTRAC does not constitute an endorsement by FINTRAC or the Government of Canada.

US dollar virtual accounts used to fund payments are provided by Lead Bank, Member FDIC. FDIC insurance covers only the failure of an FDIC-insured bank holding deposits, subject to FDIC limits and requirements; it does not protect against the failure of Storspay or any non-bank partner. Once funded, balances are held by a single regulated US financial infrastructure provider until delivery. Every other party in the payment chain — including Canadian-dollar funding partners and local-currency payout partners — acts solely as a payment transmitter and does not hold customer balances.

Storspay cards, where offered, are issued by Lead Bank, a Missouri state-chartered bank, pursuant to a licence from Visa U.S.A. Inc. Card balances are not FDIC insured. Cards are subject to approval.

Canadian-dollar funding, where offered, is processed by payment partners registered with FINTRAC as money services businesses. Funds in transit are converted and delivered by regulated payment infrastructure providers and are not held by Storspay.

Local-currency payouts are delivered by licensed payment partners regulated in each destination country, including partners registered with FinCEN in the United States and licensed or registered by the Financial Sector Conduct Authority (South Africa), the Bank of Ghana, the Bank of Zambia and other national regulators. Availability, delivery times and rates vary by country.

Storspay serves verified businesses only. Every business is verified before its first payment and every payment is screened against Canadian, United Nations and US sanctions lists. Storspay does not provide personal remittances, payroll calculation, tax withholding or employer-of-record services.
